イギリス法独占放任の時代の営業の自由からBrexit 時代への競争法の展望 11上記のとおり，本件営業制限を有効として，差止命令を支持したのであるが，多数意見の詳細はともかく，反対した少数意見に着目すべきである。反対意見の Sargant L. J. は，『ここでの抗弁は，２つの契約が，同じ条項であり，（否認はされていない）営業制限に当たり，および，強行しえない，という主張である。そのような抗弁に対応する目的のために，当裁判所は，論駁された当該契約が執行された特段の事情をまず確認すべきであり，それから契約の条項が，当事者の利益の点からも公共の利益の点からも合理的であるかどうかを考慮すべきであることは，適切に解決されることになるのである28』，と検討を始めている。『当該事件の真の難題は，契約の合理性に関して，締結当事者のどちらの主張を採用するかである。当該契約の形式を大まかに且つ最初の一読からすれば，卸売購入業者の観点からすれば，多くの意義又は不合理をそれとなくは主張していない。しかしながら，その争点が，より詳細に検討されることとなった場合には，とりわけ，本件訴訟における原告がなした広範な主張に鑑みると，当該問題は，非常に異なる性質を帯びているのである29』。『まず第一に，当該協定には，互恵性が存在しないことに気付かされるのでnot injurious to the public.Held, also, by Lord Hanworth M.
